Article I: Name

The name of the corporation is RANDALL PARKER, MBA (hereinafter, the "Corporation").

Article II: Purpose

The purpose of the Corporation is to engage in any lawful act or activity for which a corporation may be organized under the Wyoming Business Corporation Act (Wyo. Stat. §17-16-101, et seq.), as amended from time to time.

Article III: Authorized Shares

The total number of shares of stock that the Corporation is authorized to issue is One Thousand (1,000) shares of common stock, each having a par value of $1.00 per share. All shares shall be of one class with equal voting rights, dividend rights, and liquidation rights.

Article IV: Registered Agent and Registered Office

The Corporation shall maintain a registered agent and registered office in the State of Wyoming as required by the Wyoming Business Corporation Act. The registered agent and address shall be as designated by the Corporation from time to time and filed with the Wyoming Secretary of State. The initial registered agent shall be a commercial registered agent service authorized to do business in Wyoming, with an address to be filed at the time of incorporation.

Article VI: Board of Directors

Article VIII: Liability of Directors

To the fullest extent permitted by Wyoming law, a director of the Corporation shall not be personally liable to the Corporation or its shareholders for monetary damages for any action taken, or any failure to take any action, as a director, except for: (a) the amount of a financial benefit received by a director to which the director is not entitled; (b) an intentional infliction of harm on the Corporation or the shareholders; (c) a violation of Section 17-16-833 of the Wyoming Business Corporation Act (unlawful distributions); or (d) an intentional violation of criminal law.

Article IX: Indemnification

The Corporation shall indemnify its directors, officers, employees, and agents to the fullest extent permitted by the Wyoming Business Corporation Act, as it exists or may hereafter be amended. The Corporation may, by action of its Board of Directors, provide indemnification to employees and agents of the Corporation with the same scope and effect as the foregoing indemnification of directors and officers.

Article X: Amendment

The Corporation reserves the right to amend, alter, change, or repeal any provision contained in these Articles of Incorporation, in the manner now or hereafter prescribed by the Wyoming Business Corporation Act, and all rights conferred upon shareholders herein are granted subject to this reservation.

Article XI: Bylaws

The power to make, alter, amend, or repeal the Bylaws of the Corporation is vested in the Board of Directors, subject to the power of the shareholders to change or repeal such Bylaws as provided by Wyoming law.
